By accessing or using the Univot website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

These terms apply to all visitors, users, and others who access or use our services.

Univot provides the following services:

• Product Validation: Smoke testing, market research, and demand validation services
• AI Consulting: Strategic AI implementation, tool selection, and team training
• MVP Development: Rapid prototyping and minimum viable product development
• Innovation Frameworks: Lean startup methodology and product development frameworks

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice.

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems
• Not use our services to transmit malicious code or harmful content

• All fees are quoted in Euros (EUR) unless otherwise specified
• Payment terms are specified in individual service agreements
• Invoices are typically payable within 14 days of issuance
• Late payments may incur interest charges as permitted by law
• All prices are exclusive of VAT unless otherwise stated

We understand that you may share confidential information with us during our engagement. We commit to:

• Keep all client information confidential
• Use confidential information only for providing services
• Not disclose information to third parties without permission
• Implement reasonable security measures to protect your data

For projects requiring additional confidentiality protections, we can execute a separate Non-Disclosure Agreement (NDA).

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you for those specific services
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We are not responsible for loss of profits, revenue, data, or business opportunities

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

You agree to indemnify, defend, and hold harmless Univot, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Materials you provide to us

These Terms of Service are governed by the laws of the Federal Republic of Germany. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Munich, Germany.

For consumer contracts, mandatory consumer protection laws of your country of residence may apply.

In the event of any dispute, we encourage you to contact us first to seek an amicable resolution. If we cannot resolve the dispute informally, the dispute will be resolved through the courts as specified above.

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date.

Your continued use of our services after changes become effective constitutes acceptance of the revised terms.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms of Service, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Univot regarding the use of our services.
